Terms of Service
This Services Agreement ("Agreement") forms a legally binding contract between you, either as an individual or on behalf of an Organization you represent, and Spacin ("Spacin"), governing your use of Spacin's software services, websites, and related offerings (the "Services").
Users
This Agreement applies to Customers and Authorized Users. A "Customer" refers to either you as an individual or the Organization you represent in creating an account and agreeing to this Agreement. An "Authorized User" means someone a Customer invites to participate in their Spacin account. An "Organization" means any legal entity other than a natural person.
Acceptance
By creating an account, purchasing a subscription, or otherwise indicating your agreement, you consent to be legally bound by this Agreement as a Customer. Authorized Users agree to the terms by accepting a Customer's invitation. You affirm you are (1) at least 13 years old, (2) have authority to enter into this Agreement, and (3) have read and understand these terms.
Changes
Spacin may occasionally change this Agreement and will provide reasonable notice via email or through the Services. Changes become effective 30 days after notice for current users. Continued Service use constitutes acceptance of revised terms.
Access
Customers may purchase fee-based subscriptions permitting access to the Services. Spacin may also offer free subscriptions, which it can revoke anytime without liability. Spacin reserves the right to modify or discontinue any Services without notice or liability to any Customer or Authorized Users.
Acceptable Use
You agree to access and use the Services only for lawful purposes compliant with this Agreement. You will not engage in activities that interfere with or disrupt the Services, attempt unauthorized access, reverse engineer Spacin products, transmit unpermitted regulated data, or violate intellectual property rights.
Organization Accounts
If your account email address belongs to an Organization per Spacin's assessment, some of your data may automatically become visible to other users with emails from that Organization. If the Organization purchases a subscription, your account details could additionally become accessible to its administrators without prior consent. Please use a personal address if you do not consent to such visibility. Inform Spacin in writing if you dispute an Organization association.
Billing
Subscriptions are billed upfront at designated intervals. Spacin may adjust pricing for renewals and upgrades. Fees are non-refundable. Customers must provide valid payment details and pay on time to maintain access. Taxes, if any, are the Customer's responsibility.
Content
You are responsible for the lawfulness of any Content you provide through the Services. Spacin does not guarantee others' Content. By submitting your own, you grant Spacin licenses to reproduce and otherwise use it as necessary to provide and improve Services and as required by law, including through creation of anonymous aggregated data.
Intellectual Property
Spacin retains all rights to Services intellectual property. Your access grants you a limited, revocable license without intellectual property rights. You keep rights to Content you submit and license Spacin to use it to provide Services.
Publicity
If registering on an Organization's behalf, you consent to Spacin listing it as a customer. You can request removal in writing.
Termination
Either party may terminate this Agreement if the other materially breaches without timely cure. Customers may terminate subscriptions anytime without refund. Spacin may also terminate subscriptions or this Agreement generally if you violate terms, if legally obligated, if providing Services becomes unlawful or commercially unviable, or at will for unpaid subscriptions. Obligations arising pre-termination or meant to survive it will continue.
Disclaimer
SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES, EXPRESS OR IMPLIED, INCLUDING OF MERCHANTABILITY, FITNESS FOR PURPOSE, QUIET ENJOYMENT, ACCURACY, AND NON-INFRINGEMENT. YOU USE SERVICES AT YOUR OWN RISK.
Limitation of Liability
SPACIN WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATING TO THIS AGREEMENT OR THE SERVICES. SPACIN'S TOTAL LIABILITY IS LIMITED TO THE GREATER OF $50 AND FEES YOU PAID OVER THE PRIOR 12 MONTHS.
Indemnity
You will defend and indemnify the Indemnified Parties from any third party claim arising from your Content, others' use of it, your Agreement violations, or allegations your Content broke the law. Spacin may assume exclusive defense at its discretion. Equitable relief is available for improper use.
Copyright
Spacin does not allow intellectual property infringement but may remove allegedly infringing Content without notice. Repeat infringers face access termination. Spacin similarly reserves discretion to address other inappropriate Content per this Agreement.
General
This Agreement wholly replaces prior agreements regarding the Services. Applicable law and venue for any disputes is California state law and Los Angeles County courts, without preventing Spacin from seeking urgent relief elsewhere. Failure to enforce rights does not waive them. If any provision is invalid, the remainder stays valid. Notices may be provided by email or through Services.
